1. Acceptance of Terms
By accessing or using the Laureate Fund platform ("Platform"), operated by Laureate Digital Ltd. ("Laureate," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Laureate.
2. Eligibility
The Platform is available only to individuals and entities that meet the eligibility requirements established by Laureate. By using the Platform, you represent that you meet all applicable eligibility requirements and have the legal authority to enter into these Terms.
3. Platform Services
Laureate provides fund formation infrastructure, service provider coordination, investor onboarding tools, and optional tokenization services for investment fund managers ("Services"). The Platform does not provide investment advice, manage investment portfolios, or make investment decisions on behalf of fund managers or investors. Fund managers retain full responsibility for all investment decisions made within their funds.
4. Account Registration
To access certain features of the Platform, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Laureate immediately of any unauthorized use of your account.
5. Fees and Payment
Platform fees are set forth in the fee schedule provided to each fund manager as part of their onboarding process. Fees are subject to the terms of the applicable service agreement between Laureate and the fund manager. Laureate reserves the right to modify its fee schedule upon reasonable notice.
6. Intellectual Property
All content, technology, trademarks, and intellectual property associated with the Platform are owned by Laureate or its licensors. You may not copy, modify, distribute, or create derivative works based on any Platform content without prior written consent from Laureate.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Laureate shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform. Laureate's total liability shall not exceed the fees paid by you to Laureate in the twelve months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless Laureate, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bermuda, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in Hamilton, Bermuda.
10. Modifications
Laureate reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform following any modifications constitutes acceptance of the updated Terms.
